User Terms of Service

1. Introduction

Leanbase, Inc. (“Leanbase,” “we,” “our,” “us”) offers a variety of team productivity, collaboration, and organizational tools, as detailed in the Leanbase Guide and its Release Notes (collectively, the “Service”), and websites, including but not limited to www.leanbase.com, wavelength.com, blog.leanbase.com, community.asana.com (the “Websites”).

These User Terms of Service (“Terms”) constitute a binding legal agreement between you and Leanbase, outlining the rules for using our Service and Websites. These Terms apply to you as a user of the Service, with certain exceptions for Managed Users (as defined and elaborated in Section 2 (How These Terms Apply)). By accessing or using the Service and Websites, you acknowledge and agree to these Terms and confirm you have read and understand our Privacy Statement, which is incorporated herein by reference.

If you do not agree to these Terms, please refrain from accessing or using the Service or Websites.

We may update these Terms occasionally by posting a revised version on our website. If, in Leanbase’s sole discretion, the changes are significant, we will notify you before the changes take effect, either by emailing the email address associated with your account or by posting a notice through the Service and/or Websites. If you disagree with the revised Terms, you must cease using the Service and Websites. Unless specified otherwise, the updated Terms will take effect upon posting and will apply going forward. Your continued use of the Service and Websites after any such updates signifies your acceptance of the revised Terms.

2. How These Terms Apply

As a Leanbase user, you fall into one or more of the following categories:

- “Site Visitors” are individuals who browse the Websites.
- “Free Users” engage with the free/basic version of the Service. Free Users have access to a limited set of features compared to Managed Users and may have individual workspaces or participate in a free multi-user Asana domain.
- “Managed Users” are part of a paid Asana subscription plan, purchased by an entity (the “Customer”) that has a separate written agreement with Asana (the “Customer Agreement”) which governs the use of the Service and allows the Customer to configure Asana for Managed Users.

If you are a Managed User, only specific sections of these Terms apply to you: Section 1 (Introduction); Section 2 (How These Terms Apply); and Section 6 (Acceptable Use Policy).

As a Managed User, your access to the Service is through a Customer of Asana. For instance, if you are joining your employer’s organization, your employer is the Customer. If you are joining a workspace created by a friend using a personal email, your friend is the Customer. The Customer Agreement outlines our commitment to delivering the Service to the Customer, who may then invite Managed Users to their Asana instance. When you or another Managed User submit content or information to the Service, such as messages or files (“Customer Data”), you acknowledge that the Customer controls the Customer Data and the Customer Agreement allows the Customer to manage how that data is handled. For example, the Customer can manage permissions, enable or disable integrations, or modify the contents of Asana portfolios, projects, tasks, and subtasks, which can affect the access, use, disclosure, modification, or deletion of Customer Data.

AS BETWEEN ASANA AND THE CUSTOMER, YOU ACKNOWLEDGE THAT THE CUSTOMER IS SOLELY RESPONSIBLE FOR (A) INFORMING YOU AND OTHER MANAGED USERS OF ANY RELEVANT CUSTOMER POLICIES AND SETTINGS THAT MAY AFFECT CUSTOMER DATA; (B) OBTAINING THE NECESSARY RIGHTS, PERMISSIONS, OR CONSENTS FROM YOU AND OTHER MANAGED USERS FOR THE LAWFUL USE OF CUSTOMER DATA AND OPERATION OF THE SERVICE; (C) ENSURING THAT THE TRANSFER AND PROCESSING OF CUSTOMER DATA UNDER THE CUSTOMER AGREEMENT IS LAWFUL; AND (D) ADDRESSING AND RESOLVING ANY DISPUTES WITH YOU OR OTHER MANAGED USERS REGARDING CUSTOMER DATA, THE SERVICE, OR THE CUSTOMER’S OBLIGATIONS. AS A MANAGED USER, ASANA PROVIDES THE SERVICE TO YOU “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.

3. Eligibility and Scope

To use the Service and Websites, you must be at least 16 years old and capable of entering into these Terms. If your local laws require you to be older for Leanbase to lawfully provide the Service and process your personal data without parental consent, then you must meet that age requirement.

If you do not meet these criteria, or if Leanbase has previously banned you from using the Service and Websites, you are not permitted to access or use the Service and Websites.
